Purpose
- Pet Emergency Education LLC (“the Company”) is committed to maintaining the highest standards of integrity and professionalism in all its activities. The purpose of this Conflict of Interest Policy is to prevent the personal, financial, or other interests of our staff, instructors, management, and affiliated parties from interfering with the Company’s decision-making processes, duties, and responsibilities.
Scope
- This policy applies to all employees, contractors, volunteers, board members, and any individuals in a position to influence the Company’s decisions or actions. It covers all forms of conflicts of interest that might arise during the course of conducting Company business or in the fulfillment of one’s duties towards the Company.
Identification of Conflicts
- A conflict of interest occurs when an individual’s personal interests – direct or indirect, financial or non-financial – could potentially influence or appear to influence their judgment, decisions, or actions in conducting Company duties or responsibilities. This includes, but is not limited to:
- Engagements in activities or relationships that might conflict with the Company’s interests.
- Possession of significant financial interest in any entity that does business with or competes against the Company.
- Receiving personal benefits or favors that could affect one’s decision-making.
Disclosure
- All individuals subject to this policy must proactively disclose any situations that reasonably would be expected to give rise to a conflict of interest. Such disclosures should be made to the designated Company officer or committee responsible for evaluating and addressing conflicts of interest.
Managing Conflicts
- Upon disclosure of a potential conflict, the Company will evaluate the nature and extent of any concern and determine the appropriate response, which may include:
- Monitoring the situation to ensure no unethical or harmful decision-making occurs.
- Recusal of the individual from decisions or actions related to the conflict.
- Modification of the individual’s duties or responsibilities.
- Termination of the conflicting relationship or activity.
- Any other action deemed necessary to manage the conflict effectively.
Compliance and Monitoring
- The Company reserves the right to periodically review compliance with this policy and to conduct audits or investigations into potential conflicts of interest. Failure to comply with this policy, including failure to disclose a conflict or to cooperate in the Company’s handling of conflicts, may result in disciplinary action, up to and including termination of employment or association with the Company.
Amendments
- This policy may be amended or updated periodically to reflect changes in legal requirements, Company practices, or the management of conflicts of interest. All affected individuals will be notified of any significant changes.
